These Terms of Use ('Terms') govern your access to and use of the ClearSea website, applications, artificial intelligence systems, and related services, including ClearSea Discover, ClearSea Command, ClearSea Flow, and any associated tools, interfaces, integrations, or services (collectively, the 'Services'). These Terms constitute a legally binding agreement between you and ClearSea regarding your use of the Services.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any policies or guidelines incorporated by reference. If you do not agree to these Terms, you must not access or use the Services.
1. Eligibility
The Services are intended for individuals who are at least eighteen (18) years of age and who are capable of forming legally binding contracts under applicable law. By accessing or using the Services, you represent and warrant that you meet these eligibility requirements and that your use of the Services does not violate any applicable laws or regulations.
If you access the Services on behalf of an organization or other legal entity, you represent and warrant that you have the authority to bind that organization to these Terms, and in such case the terms 'you' and 'your' refer to both the individual user and the organization.
2. Description of Services
ClearSea provides artificial intelligence technologies designed to assist users with research, reasoning, software development, automation, and collaborative workflows through advanced AI systems and interfaces.
The ClearSea platform currently includes several core components:
ClearSea Discover
, which provides conversational AI capabilities designed to help users research information, generate written content, analyze complex topics, and produce structured outputs such as reports, summaries, data analysis, and code.
ClearSea Command
, which provides a developer-focused AI environment where engineers and technical users can generate, debug, review, and refine software with AI assistance across coding workflows.
ClearSea Flow
, which provides a collaborative workspace where users and AI agents can coordinate tasks, workflows, research processes, and project execution within a shared environment.
ClearSea may update, modify, expand, or discontinue any features or components of the Services at any time in order to improve functionality, security, performance, or user experience.
3. User Accounts
Certain features of the Services may require the creation of a user account. When creating an account, you agree to provide accurate, current, and complete information and to maintain the accuracy of that information.
You are responsible for safeguarding your account credentials and for any activity that occurs under your account. You agree to notify ClearSea promptly if you become aware of any unauthorized access to or use of your account.
ClearSea reserves the right to suspend or terminate accounts that violate these Terms or that are associated with unauthorized or fraudulent activity.
4. Acceptable Use and Platform Conduct
You agree to use the Services only in compliance with these Terms and all applicable laws and regulations. You may not use the Services in a manner that interferes with or disrupts the operation of the platform or that infringes the rights of other users or third parties.
Prohibited uses include, but are not limited to, attempting to gain unauthorized access to systems or networks, circumventing security measures, distributing malware or harmful code, generating or distributing illegal content, engaging in harassment or abuse, or using the platform to engage in fraudulent, deceptive, or unlawful activities.
ClearSea reserves the right to investigate potential violations of these Terms and may suspend or terminate access to the Services if misuse or prohibited conduct is identified.
5. AI Generated Content and Outputs
The Services may generate outputs, analyses, code, recommendations, or other content through artificial intelligence systems. These outputs are generated based on patterns learned from training data and user inputs.
AI-generated outputs may contain inaccuracies, incomplete information, or unintended results. Users are responsible for reviewing and verifying any outputs before relying on them, particularly in situations involving legal, financial, technical, medical, or other professional contexts.
ClearSea makes no representation or warranty regarding the accuracy, reliability, or suitability of AI-generated outputs for any specific purpose.
6. User Inputs and Content
When using the Services, you may submit prompts, instructions, code, text, documents, or other content ('Inputs'). The Services may generate responses or other results based on those Inputs ('Outputs').
You retain ownership of the Inputs you submit to the platform, subject to the rights necessary for ClearSea to operate and improve the Services. By submitting Inputs, you grant ClearSea a limited license to process, store, and analyze those Inputs solely for the purpose of providing the Services and improving platform functionality.
You represent and warrant that you have the legal rights necessary to submit any Inputs and that your Inputs do not violate any laws or infringe the rights of others.
7. Intellectual Property Rights
The Services, including the software, artificial intelligence models, user interfaces, designs, algorithms, and underlying technology that power the platform, are owned by ClearSea or its licensors and are protected by intellectual property laws.
Except for the limited rights granted in these Terms, no rights, title, or interest in the Services are transferred to users. You may not reproduce, distribute, modify, reverse engineer, decompile, or attempt to derive the source code of the Services unless expressly permitted by applicable law.
ClearSea reserves all rights not expressly granted in these Terms.
8. Third-Party Services and Integrations
The Services may integrate with or provide links to third-party platforms, APIs, or software tools. These third-party services are operated independently from ClearSea and are subject to their own terms, policies, and privacy practices.
ClearSea does not control and is not responsible for the availability, content, security, or practices of third-party services. Your interactions with such services are governed solely by the agreements between you and the third party.
9. Fees and Payment Terms
Certain features of the Services may require payment of subscription fees or usage-based charges. By purchasing or subscribing to paid features, you agree to pay all applicable fees and taxes associated with your use of the Services.
ClearSea reserves the right to modify pricing, introduce new fees, or change subscription structures in the future. Any pricing changes will take effect after reasonable notice and will apply to future billing periods.
Failure to pay applicable fees may result in suspension or termination of access to paid features.
10. Service Availability and Modifications
ClearSea strives to maintain reliable and continuous access to the Services; however, the platform may occasionally experience interruptions due to maintenance, upgrades, security updates, or unforeseen technical issues.
ClearSea reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, in order to maintain platform security, reliability, and performance.
11. Disclaimers
The Services are provided on an 'as is' and 'as available' basis. ClearSea makes no representations or warranties regarding the operation of the Services or the accuracy, completeness, or reliability of information generated through the platform.
To the fullest extent permitted by law, ClearSea disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.
12. Limitation of Liability
To the maximum extent permitted by law, ClearSea and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the use of the Services.
This limitation includes damages related to loss of data, business interruption, loss of profits, system failures, or reliance on AI-generated outputs.
In no event shall ClearSea's total liability exceed the amount paid by the user for the Services during the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless ClearSea and its affiliates from any claims, damages, liabilities, losses, or expenses arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts located within the State of California.
15. Changes to These Terms
ClearSea may revise or update these Terms from time to time in order to reflect changes in the Services, legal requirements, or operational practices.
When updates are made, the revised Terms will be published with a new effective date. Continued use of the Services after such updates constitutes acceptance of the revised Terms.
